Senior Counsel, International Commercial

The Senior Counsel, International Commercial is a key member of the Legal & Compliance Department, responsible for supporting EVERSANA's ex US business activities.
This role serves as a hands on commercial attorney providing legal advice and guidance to enable the execution of international business priorities across a complex, matrixed organization. The Senior Counsel will partner closely with business, commercial, and operational teams across geographies to support the activation and delivery of services in international markets.
The position requires a strong commercial generalist with sound business judgment and experience operating in global environments, including practical understanding of data privacy considerations in international markets, particularly in Europe and other highly regulated jurisdictions.
The ideal candidate will be collaborative, solutions oriented, and capable of operating independently while effectively engaging with cross functional teams and senior stakeholders.
QualificationsESSENTIAL DUTIES AND RESPONSIBILITIES:
International Commercial Support
- Provide legal advice and support on international commercial matters across EVERSANA's business lines.
- Draft, review, and negotiate a wide range of agreements, including customer, vendor, and strategic partnership arrangements.
- Support the commercialization and delivery of services in ex US markets, ensuring alignment with applicable legal and regulatory requirements.
- Partner with business teams to enable execution of commercial priorities in international markets.
- Provide practical, solutions oriented guidance that balances risk management with business objectives.
Cross Border Risk and Regulatory Awareness
- Identify and assess legal risks associated with operating across multiple jurisdictions.
- Advise on legal and regulatory considerations impacting international operations, including contractual, regulatory, and data related matters.
- Partner with regional stakeholders and cross functional teams to ensure coordinated legal support across jurisdictions.
- Contribute to consistent legal approaches across geographies while remaining responsive to local market dynamics.
Privacy and Data Considerations
- Advise on privacy and data considerations relevant to international commercial activities, particularly in Europe and other privacy centric jurisdictions in partnership and alignment with enterprise privacy team and standards.
- Collaborate with Privacy and Compliance teams to support appropriate handling of data related risks.
- Integrate enterprise privacy considerations into commercial agreements and business practices where applicable.
Cross Functional Collaboration
- Partner closely with Legal, Compliance, Privacy, Finance, HR, and business leaders across regions.
- Operate effectively within a highly matrixed, global organization, supporting enterprise objectives while addressing regional considerations.
- Build strong working relationships across teams to facilitate efficient and consistent legal support.
- Demonstrate a commitment to diversity, equity, and inclusion through continuous development, modeling inclusive behaviors, and proactively managing bias.

MINIMUM KNOWLEDGE, SKILLS AND ABILITIES:
Professional Qualifications:
- Degree in Law and admission to practice.
- 12-15+ years of relevant legal experience, including meaningful experience supporting international or cross border commercial operations.
- Strong experience in commercial contracting and business counseling.
- Experience working in a global or highly matrixed organization.
PREFERRED QUALIFICATIONS:
- Experience supporting ex US or international commercial operations.
- Familiarity with data privacy frameworks (e.g., GDPR) and their application in commercial contexts.
- Exposure to employment considerations in international markets.
- Experience in the biotechnology, pharmaceutical, or life sciences industry.
