Job Description

The overall purpose of my role at Pantheon is to provide in house legal advice and support to the business by assisting with the establishment and fundraising of Pantheon funds and separate account programmes, assisting with general corporate group, regulatory and compliance matters and assisting the various investment team divisions with investment related work.

Reporting to: Head of UK Legal, Legal & Compliance Team

Fund Raising
  • Establish Pantheon funds and assist in their fundraising, advising on fund structure.
  • Draft, review and coordinate fund documentation (LPAs, PPMs, side letters).
  • Coordinate investor closings and fund maintenance work.
  • Draft and negotiate term sheets, investment management agreements and segregated limited partnership agreements for segregated account programmes.
  • Coordinate with internal marketing, client service teams, independent boards, external counsel and administrators regarding launch, marketing/fundraising and maintenance.
  • Prepare and maintain Pantheon fund/client checklists.
Corporate and Regulatory
  • Work with the Compliance team on UK/European regulatory matters (AIFMD, filings and marketing passports).
  • Stay current on new European legislation relevant to fund structuring and management.
  • Advise on applicable US regulatory aspects (Securities Act of 1933, Investment Company Act of 1940, Investment Adviser Act of 1940, ERISA).
  • Identify, interpret and apply applicable UK laws, rules and regulations.
  • Draft, review and negotiate a wide range of contracts (commercial agreements, leases, statements of work).
  • Advising staff on legal and regulatory requirements, boundaries and risks.
  • Supervise and educate external counsels on Pantheon practices.
  • Liaise with regulatory authorities.
  • Attend to other general Pantheon group corporate matters.
Investment Work
  • Assist the investment team divisions (primary, secondary, co investment, infrastructure) on transaction matters.
  • Support queries on NDAs and fund/transaction terms.
  • Prepare and maintain Pantheon investment checklists.
  • Ensure compliance with relevant laws, regulations and Pantheon policy, reporting compliance risks and maintaining appropriate standards of conduct.
Management
  • Manage two lawyers in the UK.
Knowledge and Experience Required
  • High School Diploma or Equivalent - Good 'A' Level (or equivalent).
  • Bachelor's degree - Undergraduate Law degree or any undergraduate degree plus a Graduate Diploma in Law.
  • Professional Qualification - Qualified as a Solicitor in England & Wales.
  • Certification - Maintain a practising certificate and annual learning declaration to the Solicitors Regulatory Authority.
  • Other formal training - Post qualification experience at a top 10 (or equivalent) law firm or in house position.
  • Master's degree - Post graduate Legal Practice Course required, and completion of a two year training contract with a law firm.
