The function

The Legal Operations and Compliance team operates within the Finance, Legal and Strategy department of IAG Loyalty. They are responsible for managing the legal, contractual, commercial, data protection and regulatory risks associated with the establishment and management of Avios collection and redemption air and non-air partners for the Avios loyalty programmes, service agreements and ongoing legal support to the business related to these agreements and activities.

The opportunity

This role requires an individual to provide contract management support in the establishment, maintenance and renewal of strategic Avios collection and redemption partners, with a focus on the UK, USA and North America and may include some travel. The role demands a great deal of flexibility and an agile approach, so the need to work effectively as part of a team or individually is critical. The role will work closely with IAG Loyalty's Commercial Lawyer and Legal Associate, and will demand initiative, discretion and professionalism at all times as the role involves dealing with confidential information across IAG Loyalty and its group of companies.

What you'll get up to
  • Providing legal input with a commercial view when drafting and negotiating contracts with partners across territories with an IAG Loyalty presence.

  • Taking the lead in providing contractual support for commercial opportunities and working closely with departments across IAG Loyalty to ensure requirements are efficiently captured in contracts. Such contractual support includes, but is not limited to clause interpretation, risk and opportunity evaluation and guidance around related activity.

  • Working with the Regulatory Compliance Lead and DPO in obtaining new and applying existing regulatory and legal advice to new markets or sectors to ensure contractual compliance in those new markets.

  • Working closely with various local and international teams within IAG Loyalty for the drafting of contracts with non-airline partners to enable their customers to accrue or redeem Avios, requiring the ability to effectively progress a negotiation while ensuring internal teams are aligned.

  • Liaising with the Air Partner team to draft contracts for new Air Partners and renewals of existing agreements with airlines for their participation in the Avios programmes.

  • Drafting other legal documents in English including:

    • Avios earning and/or redemption Participation Agreements within various sectors including Financial Services, Leisure & Tourism and Retail;

    • Heads of Terms and Memorandums of Understanding;

    • Non-Disclosure Agreements;

    • Variation/Extension Agreements;

    • Side-letters covering a variety of changes reflecting the flexible nature of partnerships.

  • Assist in the drafting and negotiation of service agreements related to procurement activity as well as digital, data and marketing opportunities.

  • Corresponding effectively with partners and keeping up-to-date with current status of new and existing partnerships including being accountable for contract administration/correspondence.

  • Undertake continual commercial risk assessments of prospective partners and new revenue stream opportunities, including consideration of existing contractual covenants, management of IP flows and SLA management.

  • Review customer terms and conditions for partnerships launched in multiple territories.

  • Assist in the registration and maintenance of trade marks across various territories for a variety of marks.

What we need from you

  • Ability to work under pressure and respond to different requirements often within tight deadlines across the business.

  • Agile approach to facilitate the varying requirements of the teams which require the services according to both sector and location.

  • The ability to obtain, dissect and disseminate information confidently and efficiently within IAG Loyalty both at a local and international level and with external partners at all levels.

  • Relationship management skills to operate in an effective manner in building relationships with senior stakeholders within IAG Loyalty.

  • Strong organisational and prioritisation skills and the ability to independently manage own workload.

  • An awareness of the regulatory framework of customer loyalty operations in the UK is desirable.

  • Using original thinking to find solutions to potential issues and using own discretion to find the balance between legal and commercial considerations in contracting.

Skills, qualifications, expertise and experience

  • Proven and established understanding of English contract law.

  • Capable of explaining legal matters to colleagues within and outside the team.

  • Able to collect, analyse, research and summarise information for the preparation of contracts and other legal documents

  • Keep up-to-date with relevant existing and amended legislation.

  • A completed Law Degree is essential and a completed Legal Practice Course (or equivalent) is a desirable qualification.

  • Fluency in oral and written English.
