Tax & Legal Counsel - American PSF in Luxembourg

Our client, a well-established American PSF based in the heart of Luxembourg City, is looking to hire a Tax & Legal Counsel to strengthen its legal team of around ten professionals. This position offers the opportunity to work in an international environment within a human-sized and collaborative structure.
Please note that this role does not involve fund tax matters. The focus is on Luxembourg tax law, SPV structuring, and legal support across multiple European jurisdictions.
Tax & Legal Counsel - Your Responsibilities:
- Provide legal and tax expertise on Luxembourg SPVs, covering formation, structuring, and day-to-day management.
- Advise on structuring and holding strategies with a cross-border dimension, including financing and corporate aspects.
- Coordinate with external tax advisors to prepare and review tax reports and ensure compliance with regulatory obligations.
- Draft and finalize legal documents such as board minutes, resolutions, and notarial deeds.
- Support corporate law operations including capital increases, reorganizations, and entity incorporations.
- Assist with structuring projects across various European jurisdictions.
- Ensure adherence to compliance and regulatory processes (AML/KYC).
Tax & Legal Counsel - Your Profile:
- You have at least 5 years of experience in a law firm and/or in-house legal position.
- You possess strong technical expertise in Luxembourg tax law and practical experience with SPVs.
- Prior experience as a qualified lawyer is a plus, but not a requirement.
- You are detail-oriented, autonomous, and solution-driven, with a strong business mindset.
- You are fluent in English and French, both written and spoken.
