We are seeking an experienced Legal Director to join our team and oversee the legal functions based in Gothenburg, covering Europe, the United States, Canada and the United Kingdom.

About the role:

As the Legal Director, you will be responsible for leading Icomera's legal and regulatory affairs across multiple jurisdictions. This includes corporate governance, contract negotiation with clients and suppliers, and ensuring legal compliance in all project activities. In your role, you will be working closely with project teams to provide legal support and monitor and assess legal risks. When relevant, you will coordinate all legal aspects with our parent company Equans, HQ and local legal advisors. For this role it is important to stay abreast of relevant laws and regulations in Sweden, Europe and North America. You will be developing and implementing policies to ensure legal compliance. Furthermore, the Legal Director at Icomera acts as the Data Protection Officer of the company, to ensure regulatory adherence.

You will be reporting directly to the CEO. The position can be based in Paris or Gothenburg depending on preference. We apply a hybrid work model, with up to two days per week from other locations than your office.

Key responsibilities:

  • Manage and ensure compliance with corporate governance requirements.
  • Provide legal advice on corporate matters to senior management.
  • Prepare Legal memos according to Group compliance for Risk Committees
  • Lead negotiations for client and supplier contracts.
  • Draft, negotiate, and review a wide range of commercial contracts with clients, suppliers, and partners
  • Monitor and ensure compliance with data protection laws and regulations, such as GDPR.
  • Conduct regular audits to assess data processing activities and ensure adherence to established policies, hence accountable for the company DPO function.
  • Collaborate with cross-functional teams to provide legal guidance.
  • Conduct training sessions to enhance legal awareness within the organization.
  • Manage litigation and legal dispute resolution.
  • Define and manage outsourced legal firms for local needs and expertise

Requirements:

  • Master of Laws Degree.
  • Minimum 10-15 years of experience as a legal professional.
  • Extensive experience in corporate law, commercial contracting, and regulatory compliance
  • Strong knowledge of legal frameworks in Europe.
  • Extensive experience in corporate law, commercial contracting, and regulatory compliance
  • Proven ability to lead cross-border legal matters and collaborate with global teams
  • Fluent in English, both written and spoken; proficiency in other languages is an advantage
  • Industry experience in transportation or infrastructure is desirable
