Acteon is looking for a Head of Legal in full-time and permanent position for BL Marine Foundation at the Rotterdam office as soon as possible.

We are seeking a skilled and motivated general practitioner In-House Lawyer. This role requires a proactive legal professional who can provide a variety of expert legal advice that arise in-house, manage complex legal matters including Engineering, Procurement, and Construction (EPC) contracts, Transportation and Installation (T&I) contracts, offshore services contracts , and dispute resolution, and ensure compliance with all relevant regulations.

Duties/Responsibilities:
• Provide accurate, relevant and timely legal advice on a wide range of legal topics in support of the Marine Foundations Business Line.
• Advise on contracts, agreements, and transactions to mitigate legal risks.
• Drafting, reviewing, and negotiating a wide variety of commercial tenders, contracts and agreements, utilizing both standard templates utilized by Acteon Group and industry standard templates, including contracts for the procurement of good and services, framework agreements, EPC(I) contracts, Memoranda of Agreements (MoAs), MOUs, confidentiality agreements and the like.
• General legal support across the business including property matters, employment related matters, internal reorganisations, H&S investigations.
• With the assistance of Group compliance, responsible for compliance with applicable laws, regulations, and industry standards that apply to the Marine Foundation Business Line.
• Keep abreast of changes in legislation and advise on potential impacts.
• Implement compliance programs and policies.
• Promoting legal, compliance and risk management best practice throughout the company.
• Providing support and legal advice in respect of all claims under above types of contracts
• Manage and resolve disputes, including litigation, arbitration, and mediation, with support of Group legal in accordance with policies and processes.
• Work closely with external counsel when necessary to handle complex legal disputes.
• Identify and assess legal risks associated with projects and operations.
• Develop strategies to mitigate identified risks.
• Where required by Group CoSec team, support corporate governance activities, including board meetings and corporate filings.
• Ensure adherence to corporate policies and procedures.
• Managing 3 direct reports (contract managers) and ensuring they are utilised in supporting the business to meet your goals and that of the wider business.
• Provide training to staff on legal issues and compliance matters.
• Promote a culture of legal awareness and compliance within the company.
• Staying up to date with changes to legislation and case law, particularly in relation to laws, rules and regulations that directly affect the supply chain and procurement.
• Liaising with the business leaders and support functions.
• Reporting and updating EVP of the enter business line name Business Line, Group legal and relevant business stakeholders on key legal issues and risks, including lessons learnt and improvement areas for the business.
• Communicating with and managing certain third-parties such as external counsel, contract lawyers, experts and/or auditors in line with legal services procurement processes (including providing feedback on legal panel performance).
• Managing 3 direct reports (resp. Legal counsel and contract managers ) and ensuring they are utilized in supporting the business to meet your goals and that of the wider business.
• Provide training to staff on legal issues and compliance matters.
• Promote a culture of legal awareness and compliance within the company.
• Staying up to date with changes to legislation and case law, particularly in relation to laws, rules and regulations that directly affect the supply chain and procurement.
• Liaising with the business leaders and support functions.

Requirements:
• Minimum of 5 years PQE as an in-house lawyer or private practice.
• Strong knowledge of contract law, commercial law, and regulatory compliance.
• Experience in managing disputes and working with external legal counsel.
• Excellent negotiation, drafting, and communication skills.
• Ability to work independently and as part of a multidisciplinary team.
