Corporate Secretary

A global proprietary trading firm is seeking a highly skilled and experienced Corporate Secretary to join its dynamic legal team in Amsterdam. This pivotal role involves ensuring the company adheres to standard financial and legal practices while maintaining the highest standards of corporate governance. The successful candidate will play a crucial role in managing the company's legal, regulatory, and compliance affairs, working closely with external legal advisors and regulatory bodies to safeguard the firm's interests.
Key Responsibilities:
- Compliance Management: Oversee the company's compliance with statutory and regulatory requirements, ensuring all legal obligations are met in a timely and efficient manner
- Board Support: Manage all aspects of board meetings, including the preparation of agendas, distribution of board papers, recording of minutes, and follow-up on action items. Provide expert advice to the board on corporate governance matters
- Legal Documentation: Ensure that all legal documents are properly executed, maintained, and stored. This includes contracts, agreements, and other critical documents
- External Coordination: Liaise with external legal advisors on various legal matters, ensuring that the company receives the best possible legal advice and representation
- Corporate Filings: Handle all corporate filings and maintain accurate company records, including statutory registers and other essential documentation
- Annual Reports: Assist in the preparation of annual reports and other statutory documents, ensuring they are completed accurately and submitted on time
- Policy Development: Develop and implement corporate policies and procedures to ensure compliance with legal and regulatory requirements
- Risk Management: Identify and mitigate legal risks associated with the company's operations, providing strategic advice to senior management
Qualifications:
- Educational Background: A degree in Law or a related field is essential. Additional qualifications in corporate governance or compliance would be advantageous
- Professional Experience: Proven experience in a similar role within a financial services or trading firm is required. A minimum of 5-7 years of experience in corporate governance or legal compliance is essential Experience in a global or multinational environment is highly desirable
- Corporate Governance Expertise: Strong understanding of corporate governance principles and regulatory requirements, with the ability to provide sound advice to the board and senior management
- Organisational Skills: Excellent organisational skills, with the ability to manage multiple tasks and priorities effectively. Attention to detail and accuracy are critical
- Communication Skills: Exceptional written and verbal communication skills, with the ability to convey complex legal concepts clearly and concisely
- Independence: Ability to work independently, demonstrating initiative and proactive problem-solving skills. A self-starter who can manage their workload with minimal supervision
- Team Collaboration: Strong interpersonal skills, with the ability to work collaboratively with colleagues across different departments and levels of the organisation
