Role Overview

SEI seeks a Company Secretary Assistant to support the Specialist I, Company Secretary function. The role is responsible for ensuring all secretarial and corporate governance responsibilities for three SEIIreland Boards and four UCITS investment funds are completed effectively and efficiently, with the assistance of external providers and SEI Ireland's Legal team. The successful candidate will report to the General Counsel - Dublin and work alongside the Ireland Legal and Compliance teams, collaborating with Senior Management and Board Directors.

Responsibilities
  • Organise board meetings: schedule, prepare agendas, and manage the production, collection and circulation of board papers using an online governance tool (BoardEffect).
  • Draft board minutes, coordinate internal review, and ensure effective follow through on all relevant matters arising at meetings.
  • Coordinate with external company secretaries and counsel on updating statutory registers, records, books and relevant CRO filings.
  • Maintain and update authorised signatory lists for Irish companies.
  • Coordinate annual board evaluation processes and documentation.
  • Oversee and maintain internal and external beneficial ownership registers.
  • Coordinate signing of financial statements by directors and liaise with Finance and external auditors.
  • Administer appointment or resignation of board directors and collaborate with Compliance on related CBI authorisations.
  • Maintain existing corporate governance calendars and company secretariat procedures.
  • Prioritise the secretariat's workload to ensure timely delivery against deadlines, resolving or escalating ad hoc issues as appropriate.
  • Handle confidential correspondence and documentation for the secretariat with a high degree of professionalism and discretion.
  • Assist with corporate governance projects, research, and prepare reports and presentations as necessary.
Qualifications
  • Degree in law or business.
  • 3-5years' experience in a company secretariat, ideally within a regulated financial services environment.
  • Strong understanding of Irish company law, corporate governance requirements, and regulated company responsibilities.
  • Desirable: understanding of the Irish funds industry and CBI regulation.
  • Experience coordinating and attending board/committee meetings, including minute taking and follow up action management.
  • Chartered Company Secretary in Ireland or committed to attaining that qualification in the near term.
  • Commitment to expanding expertise on corporate governance for regulated financial services firms.
  • Methodical, detail oriented, and proficient in Office 365 (Word, Excel, Teams, Copilot).
