Your role

As Legal Counsel M&A, you are the legal point of contact for all acquisition-related matters. You will join a small, high-performing legal team and collaborate closely with our in-house deal team and leading external law firms. You will manage the full M&A cycle - from structuring to closing and integration - across international and complex deals, with around 10 transactions per year.

Your key responsibilities

• Legal coordination of the entire M&A process: drafting, reviewing and negotiating NDAs, LOIs, SPA/APA, SHA, and other deal documents
• Structuring deals, including governance, funding documentation, and re-investments
• Managing legal due diligence: defining scope, liaising with advisors, analyzing findings and integrating into transaction documents
• Supporting merger control and FDI filings where needed
• Engaging with external counsel, regulatory bodies, and other stakeholders
• Identifying legal risks and advising on mitigation strategies
• Preparing post-closing legal actions and documentation (IP assignments, management agreements, etc.)
• Advising on earn-outs, W&I processes, and deal-specific legal topics

What you bring

• Master's degree in Dutch law (LL.M.)
• 3-5 years of experience in private practice and/or in-house legal, with focus on M&A or corporate law
• Strong analytical and organizational skills
• Hands-on, proactive and entrepreneurial mindset
• Proven ability to manage multiple transactions simultaneously
• Fluent in English (spoken and written), good command of Dutch and ideally one additional language
