Position Overview

The Legal Counsel will provide comprehensive legal support across the company's operations. The role covers a wide range of responsibilities, including commercial contracting, claims management, partnerships, and mergers & acquisitions (M&A). Working closely with project, business, and leadership teams, the Legal Counsel will contribute to effective risk management, business growth, and compliance across different areas of the organization.

Key Responsibilities

• Contracting & Project Support
• Draft, review, and negotiate complex commercial contracts, including EPC, transport & installation, chartering, and subcontracting agreements.
• Advise on risk allocation, liability, indemnity, and insurance provisions.
• Support project managers and commercial teams in contract execution and change management.
• Assess and manage claims (both defensive and offensive) arising from projects, delays, or performance issues.
• Lead or support dispute resolution processes, including mediation, arbitration, and litigation.
• Maintain documentation and coordinate with external counsel when required.
• Corporate & Transactional Work
• Support the structuring, negotiation, and execution of joint ventures, consortiums, and strategic alliances.
• Provide legal advice on corporate transactions, including M&A, divestments, and reorganizations.
• Conduct legal due diligence and support integration or separation activities.
• Compliance & Governance
• Ensure compliance with applicable laws, regulations, and internal policies.
• Advise on anti-bribery, competition law, export control, and data protection.
• Assist with company secretarial and governance matters as needed.

Qualifications & Experience

• Law degree and qualification to practice in the Netherlands.
• Minimum 4 years of post-qualification experience (PQE), preferably in an international environment.
• Background in engineering, construction, maritime, or energy sectors preferred.
• Strong experience in contract law, claims, and transactional work (JV/M&A).
• Excellent negotiation, drafting, and communication skills.
• Ability to work independently and cross-functionally in a fast-paced, project-driven organization.
• Fluent in English is a must, additional language is a plus.
