We are looking for a highly organised and proactive Paralegal/Company Secretary to join Enva's in house legal team in Ireland. This role combines company secretarial support with broader legal and compliance assistance.

You will work closely with the Legal Team and senior stakeholders across the business to support board and committee governance, assist with corporate transactions, and provide day to day legal and administrative support.

This is an excellent opportunity for an experienced company secretarial professional, paralegal or legal executive to take on a varied, hands on role in a growing, purpose driven organisation.

Key Responsibilities Company secretarial & governance
  • Support board and committee governance for Enva Group companies.
  • Assist with the preparation, collation and distribution of board and committee packs.
  • Draft and maintain agendas, action logs and annual governance calendars.
  • Take minutes of board and committee meetings.
  • Liaise with our external company secretarial providers to maintain statutory registers and company records, ensuring timely filings with the Companies Registration Office (CRO) and Companies House.
  • Support the implementation and maintenance of corporate governance policies and procedures.
Corporate administration & transactions
  • Prepare and coordinate routine corporate documentation (e.g. written resolutions, share transfers, director appointments/resignations, powers of attorney).
  • Assist with corporate projects, including group restructurings, acquisitions and disposals, collating KYC information and supporting due diligence processes.
  • Liaise with external company secretarial providers and law firms where required.
Legal support & contract administration
  • Provide paralegal support to the in house legal team, including initial review of NDAs and standard form contracts, and coordination of approvals and signatures.
  • Maintain contract registers and support the implementation of contract management processes and tools.
  • Assist with the drafting and updating of templates, playbooks and guidance notes.
Regulatory & compliance support
  • Help monitor and track key legal and regulatory obligations and deadlines (e.g. filings, licences, registrations).
  • Support the roll out of compliance policies, procedures and training (e.g. data protection, anti bribery, competition law) from an administrative and coordination perspective.
  • Assist with gathering information and documentation for regulatory enquiries, audits and investigations.
General legal team support
  • Provide day to day administrative and organisational support to the Group Head of Legal and wider legal team.
  • Help improve legal and governance processes, systems and ways of working.
Skills, Knowledge and Expertise Essential
  • Experience in a company secretarial, paralegal or legal executive role, ideally within a corporate or in house environment.
  • Strong understanding of company secretarial practice and corporate governance requirements for Irish companies (and, ideally, familiarity with UK requirements).
  • Experience preparing board/committee packs, taking minutes and maintaining statutory records and company registers.
  • Excellent organisational skills, with the ability to manage multiple tasks, deadlines and stakeholders.
  • Strong written and verbal communication skills, with high attention to detail and accuracy.
  • Confident user of Sharepoint and comfortable working with document management.
  • Ability to work collaboratively with colleagues at all levels and build strong working relationships.
Desirable
  • ICSA/CGI (Chartered Governance Institute) qualification or working towards it, or equivalent company secretarial qualification.
  • Prior experience supporting corporate transactions (e.g. M&A, restructurings).
  • Experience in an in house legal team supporting both governance and commercial legal work.
Personal Attributes
  • Highly organised and detail oriented.
  • Proactive, with a strong sense of ownership and follow through.
  • Commercially aware and pragmatic, with a solutions focused mindset.
  • Collaborative and team oriented, with a low ego approach.
  • Resilient and comfortable working in a fast paced, evolving environment.
  • High levels of integrity and professional ethics.
