Location: UK Hybrid from one of the Penspen offices
Salary: Circa £100k depending on experience + Flex £1700, car allowance £6136, and single cover PMI

Penspen is looking for a dynamic Head of Legal, Compliance, Contract Management, and Risk to join their Executive Leadership Team. Ideally a Qualified Lawyer!
Main Purpose of Role:
The Head of Legal, Compliance, Contract Management & Risk is responsible for managing all legal affairs related to the organization, focusing on contract risk and management. The role leads on commercial licenses and legal compliance, providing advice on corporate, commercial, and legal matters including contracts, projects, disputes, and negotiations. It also involves developing a strong culture of compliance across the organization. This is a global role based in the UK and also fulfills the duties of Company Secretary.
Education Level / Personal Skills:
Degree in law - preferably gained in Europe
Experience and in-depth knowledge of complex commercial law and contract negotiation
Experience in creating, managing & dissolving legal entities across multiple territories
Experience in the energy/oil & gas/power sector preferred, but other sectors considered
Experience resolving complex customer and supplier disputes
Experience leading compliance change and management programs
Ability to communicate complex concepts clearly to both non-lawyers and lawyers at all levels
Ability to react quickly and thoroughly to unexpected tasks, managing expectations
Fluent written and verbal English skills essential
Responsibilities:
Commercial Management - advise on legal and commercial risks across projects and new entities
Contract Governance - oversee project execution to meet processes, objectives, and financial targets
Regulatory Compliance - monitor statutory obligations and advise management, including sanctions
Entity Management - oversee formation and dissolution of entities at country level
Compliance - develop and implement policies on data privacy, competition law, anti-bribery, AML, sanctions, human rights, and related areas
Capability Building - implement training programs to embed compliance culture
Data Management - ensure GDPR and relevant regulations compliance in data handling
Contract Review - negotiate and review client and supplier contracts, manage risks
Proposal Input - support bid processes with legal and commercial solutions
Policies and Procedures - ensure legal considerations are integrated into business initiatives
Enterprise Risk Management - contribute to risk management activities and escalation
Dispute Resolution - manage disputes and liaise with external lawyers
Stakeholder Management - build relationships internally and externally for decision support
Insurance - manage renewals, policies, and contractual insurance requirements
Company Secretarial - handle filings, board meetings, and corporate governance tasks
Support MEA operations (insurance, legal, contract, regulatory, claims, licensing)
Digital Transformation - address legal considerations related to THEIA platform
M&A Support - assist with mergers and acquisitions activities
