About the Team

This Corporate Governance Manager role (Corporate & External Affairs Analyst Senior) is based in the Corporate Governance Team, which forms part of FIS's global Legal, Compliance and Corporate Affairs function. You will work as part of an international network of governance professionals located in London, Singapore and FIS's headquarters in Jacksonville, Florida, supporting entities across the full spectrum of FIS's global corporate structure.

What you will be doing

You will support a range of corporate governance and corporate secretarial compliance activities for legal entities across the FIS group, with a primary focus on entities across the EMEA and APAC region. This will include legal and factual research, document preparation and analysis, coordination of quarterly board meeting materials, preparation of meeting minutes, and working with external counsel, where relevant, to help ensure that entities remain compliant and up to date in their respective jurisdictions, and you will also assist the team as needed on other jurisdictions.

  • Review annual financial statements, prepare approval documents or coordinate with external counsel, and assist with statutory filings, event driven changes and maintenance of entity database records
  • Attend board and committee meetings and draft minutes, agendas, entity resolutions and other corporate governance documents
  • Support regulated boards, committees and senior management on matters relating to quarterly board meetings
  • Assist with corporate projects, including annual cash repatriation, capitalisations, entity rationalisations and restructurings, post acquisition integrations and other legal projects
  • Liaise with and support other departments on corporate governance matters
  • Coordinate with external law firms and review required corporate governance documents for applicable jurisdictions
What you bring
  • Graduate of Law
  • Chartered Governance Institute (CGI) and/or Paralegal certification
  • 5 or more years of work experience in legal or regulatory environments
  • Specific experience in company secretarial activities and knowledge of relevant company legislation, and of international governance requirements
  • Experience with the drafting of corporate documents and minute taking
  • Experience working with outside resources
  • Strong communication skills with the ability to multi task and prioritize work and contribute to a fast paced, deadline focused environment
  • Strong IT skills; familiarity with Diligent Entities, and proficiency in Windows based applications, Microsoft Outlook, WORD, and EXCEL
  • Ability to occasionally travel for Board and committee meetings in country or abroad
  • Added bonus: experience of company secretarial activity in UK and overseas jurisdictions; basic grounding in contract and other commercial law principles; some aptitude for languages would be helpful, but not essential
