Job Description
Overview

Come and join our team in Amsterdam! We are currently hiring a Company Secretary & Legal Manager to support our Netherlands cluster. In this role you will be responsible for ensuring compliance with legal, regulatory and governance standards and corporate housekeeping. At present there are 18 legal entities in our Netherlands cluster, and these consist of both regulated and non-regulated entities. You will provide governance and (management) board support for these entities in our cluster and will have the following responsibilities:

What you'll do
  • You'll convene and service annual general meetings, and other shareholders meetings, (management) board meetings or committee meetings (preparing agendas, recording & finalizing minutes, conveying decisions, handling meetings correspondence, etc.)
  • You'll ensure (management) board procedures are followed and decisions made are properly documented, whilst maintaining statutory books and files including shareholders', (managing) directors & regulatory registers
  • You'll organize, plan, minute and arrange follow up on committee meetings, such as weekly client acceptance meetings, monthly country management team meetings, works council meetings and quarterly risk and compliance meetings
  • You'llsupport and work closely together with the two Director Legal's - General Affairs and Contracting. You'll help ensure IQ-EQ NL meets its legal and contractual requirements, keeping in mind that 'compliance' has never been more complex. You need to keep abreast of (strict) legislation in this respect and ensure that IQ-EQ NL remains compliant, safeguarding it from potential risks
  • Upon request and pro-actively, assist in providing guidance to IQ-EQ colleagues and to clients on complex Dutch legal and/ or financial regulatory issues and in handling any (potential) liability claim/ litigation

Qualifications
  • Masters degree in Dutch (corporate) law
  • Previous legal experience as company secretary/ corporate officer/ legal counsel/ lawyer or legal advisor
  • Knowledge of MS Office and curiosity in and affinity to adapt new tech solutions
  • Experience with handling (legal) corporate matters and dealing with corporate governance
  • Fluent in English and Dutch, an additional language is an asset.
