Board Governance Manager
Location: South Kent Hours: 4 days per week, 9:00am-5:00pm Working Pattern: Hybrid - 2 days per week in the office Salary: £48,000 pro rata
We are currently recruiting for a Board Governance Manager to join a well-established, not-for-profit organisation that provides essential healthcare services and makes a positive difference to the communities it serves.
We are looking for an experienced governance professional with a strong background in Board governance, company secretarial responsibilities and corporate governance. The successful candidate will have the confidence to work closely with senior leadership and Board members, providing advice and ensuring effective governance processes are maintained.
A relevant professional qualification would be advantageous but is not essential, with strong practical experience being equally valued.
Previous experience within healthcare, the NHS, social enterprise, not-for-profit or similarly regulated environments would be highly beneficial.
Duties include:
Lead company secretarial, corporate governance and assurance activities, ensuring appropriate statutory and regulatory requirements are maintained.
Develop, maintain and improve governance frameworks, policies and procedures in line with organisational requirements and recognised best practice.
Support the effective operation of the Board and its committees, including preparing meeting agendas, papers, minutes, action logs and forward plans.
Provide senior-level governance advice and guidance to Board members, executives and other key stakeholders.
Coordinate Board and committee induction, training, effectiveness reviews and ongoing development activities.
Support succession planning and wider initiatives designed to strengthen Board effectiveness.
Develop and maintain compliance and assurance frameworks, ensuring the organisation remains well controlled and prepared for internal and external reviews.
Prepare governance, compliance, risk and assurance reports for senior leadership and Board-level review.
Monitor key organisational risks, identifying emerging issues, trends and appropriate mitigation actions.
Maintain corporate risk and assurance documentation and support the development of effective risk management processes.
Coordinate the preparation of annual and regulatory reports, ensuring information is accurate, timely and presented to a high standard.
Oversee compliance with relevant legal, regulatory and governance requirements.
Coordinate responses to audits, inspections, reviews and other assurance activities.
Develop and deliver governance and compliance training to improve awareness and understanding across the organisation.
Build strong working relationships with Board members, senior leadership and teams across the wider organisation.
Work closely with finance, people, operations, quality, legal and other internal teams to ensure governance and compliance are embedded within business processes.
Liaise with external advisers, auditors and relevant regulatory bodies where required.
Maintain a high level of confidentiality, professionalism and integrity when handling sensitive corporate information.
Identify opportunities to improve governance processes, systems and reporting, including considering the appropriate use of emerging technology.
Undertake additional governance, company secretarial and assurance responsibilities as required.
Qualifications and experience:
Significant experience in corporate governance, Board governance or company secretarial functions.
Previous experience working within healthcare, the NHS, social enterprise, not-for-profit or another regulated environment would be advantageous.
Proven experience working at Board or senior leadership level, with the ability to communicate confidently with senior stakeholders.
A relevant professional qualification in corporate governance, company secretarial practice, law, business or a related field would be desirable but is not essential.
