Tax & Legal Counsel - Structuring SPV with a European Focus

Our client, a well-established American PSF located in the heart of Luxembourg City, is seeking a Tax & Legal Counsel to strengthen its small, close-knit legal team (approximately ten people). This role stands out due to its international environment and collaborative corporate culture.

Important: this role excludes any involvement in investment fund-related activities. No specific knowledge of funds is required.

The role focuses on:

• Structuring Luxembourg-based SPV vehicles,
• Cross-border projects in multiple European jurisdictions,
• Providing tax advice related to international structuring, creation, or liquidation of companies.

Tax & Legal Counsel - Your responsibilities:

• Provide legal and tax expertise on the structuring, creation, and operational follow-up of Luxembourg-based SPVs.
• Support the establishment of holding or financing structures on a European scale, particularly in relation to acquisition, refinancing, or reorganization projects.
• Coordinate tax-related aspects with external advisors (drafting, reviewing tax reports, regulatory compliance).
• Manage legal documentation: minutes, resolutions, notarial acts, etc.
• Participate in corporate law operations (incorporations, capital increases, dissolutions).
• Oversee the liquidation of companies in various European jurisdictions.
• Ensure compliance with AML/KYC procedures.

Tax & Legal Counsel - Your profile:

• Minimum of 5 years of experience in a law firm or an in-house legal department.
• Strong knowledge of Luxembourg tax law and practical experience with SPV structures.
• A legal qualification is an asset, but not essential.
• Independent, rigorous, with a solution-oriented and business-driven mindset.
• Proficiency in both French and English, both oral and written.
